Important: These Terms of Service constitute a legally binding agreement between you and Pentagram Technologies Acquisitions Inc. regarding your use of the SIMP protocol and PTAI services. By accessing or using our services, you agree to these terms.

1. Definitions

"SIMP Protocol"
The Standardized Intent Messaging Protocol, a broker-based communication system for AI agents.
"PTAI" / "Company"
Pentagram Technologies Acquisitions Inc., a Delaware corporation.
"Services"
The SIMP protocol infrastructure, KFE Central Hub, and associated platform services.
"Agent"
Any software entity registered to send or receive intent messages via the protocol.
"User"
Any individual or organization accessing or using PTAI Services.
"Intent"
A cryptographically signed message following the SIMP protocol specification.

2. Acceptance of Terms

By creating an account, accessing, or using PTAI Services, you:

  • Represent that you are at least 18 years old and have legal capacity to enter this agreement
  • Agree to comply with all applicable laws, regulations, and these Terms
  • Accept responsibility for all activities conducted through your account
  • Confirm you are not located in a country subject to U.S. sanctions

3. Service Description

PTAI provides the following:

  • SIMP Protocol Infrastructure: Broker services for routing agent communications
  • KFE Central Hub: Economic coordination and resource allocation
  • Guard Services: Security monitoring, compliance validation, and threat detection
  • API Access: REST and WebSocket interfaces for service integration
  • SLA Guarantees: 99.99% uptime for Enterprise tier (as defined in separate SLA)

4. Account Registration and Security

4.1 Registration Requirements

You must provide accurate, current, and complete information during registration. Organization accounts must be registered by authorized representatives.

4.2 Security Obligations

You are responsible for:

  • Maintaining confidentiality of API keys and authentication credentials
  • Immediately notifying PTAI of unauthorized access or security breaches
  • Implementing appropriate security measures for your agents and systems
  • Using Ed25519 cryptographic keys as specified in protocol documentation

5. Acceptable Use Policy

You agree NOT to use PTAI Services for:

  • Any illegal activity, including fraud, money laundering, or sanctions evasion
  • Transmitting malware, viruses, or malicious code
  • Unauthorized access to systems or data (hacking, scraping)
  • Distribution of CSAM or other prohibited content
  • Activities that could damage PTAI infrastructure or other users
  • Circumventing rate limits, access controls, or security measures
  • Training AI models on PTAI data without explicit authorization

6. Intellectual Property

6.1 PTAI IP

All PTAI software, protocols, trademarks, and documentation remain the exclusive property of Pentagram Technologies Acquisitions Inc. The SIMP protocol specification is open-source under Apache 2.0 license.

6.2 Your Content

You retain ownership of your agent configurations and business logic. You grant PTAI a limited license to process data solely as necessary to provide Services.

7. Fees and Payment

Payment terms:

  • Charges based on selected pricing tier and usage metrics
  • Invoices issued monthly; payment due within 30 days
  • Late payments subject to 1.5% monthly service charge
  • Enterprise customers subject to separate Master Service Agreement

8. Termination

8.1 By You

You may terminate your account at any time. Outstanding fees remain due.

8.2 By PTAI

We may suspend or terminate access for:

  • Violation of these Terms or Acceptable Use Policy
  • Non-payment after 60 days overdue
  • Regulatory requirements or legal process
  • Discontinuation of Services (with 90 days notice)

9. Disclaimers and Limitations

PTAI Services are provided "AS IS" without warranties of any kind. To the maximum extent permitted by law:

  • PTAI is not liable for indirect, incidental, or consequential damages
  • Total liability limited to fees paid in preceding 12 months
  • No liability for third-party agents or services

10. Governing Law

These Terms are governed by Delaware law, excluding conflicts of law principles. Disputes shall be resolved through binding arbitration in Wilmington, Delaware.

11. Changes to Terms

PTAI may modify these Terms with 30 days notice. Continued use after changes constitutes acceptance.
